1 Acceptance of Terms

By accessing or using the Micro Content Agency UGC platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use the Service.

2 Eligibility and Account Access

The Micro Content Agency UGC platform is a paid, login-only web application. Access to the Service is granted exclusively to users who have purchased a valid license through the JVZoo marketplace.

• You must be at least 18 years of age to use the Service.
• Account credentials are issued upon successful purchase and are for your personal use only.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account or any other breach of security.
• We reserve the right to refuse, suspend, or terminate access at our sole discretion.

3 Description of Services

Micro Content Agency UGC provides registered users with tools to create AI-generated user-generated content (UGC) videos. The platform enables users to:

• Generate video content using AI-powered video generation models.
• Edit and customize video scenes, subtitles, and other visual elements.
• Upload completed videos to their own YouTube channels (via authorized YouTube integration).
• Manage video projects within the platform dashboard.

We continuously improve and update our features. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

4 YouTube Integration Disclaimer

The Micro Content Agency UGC platform provides an optional integration with YouTube that allows users to upload videos directly to their own YouTube channels. This integration operates under the following conditions:

• The integration uses the YouTube API Services and the industry-standard OAuth 2.0 protocol to securely authorize access to your YouTube account.
• You explicitly grant permission to the application during the OAuth authorization process. You may revoke this access at any time through your Google Account settings at https://security.google.com/settings/security/permissions.
• The application uploads videos only to your own YouTube channel and only after you explicitly initiate the upload action. No uploads are performed automatically or without your direct consent.
• The application does not manage, monetize, control, or make any changes to your YouTube channel beyond uploading the specific video you have requested.
• The application does not access, read, or store your YouTube analytics, subscriber data, comments, or any other channel information beyond what is necessary for the upload process.

5 User Responsibilities and Content Ownership

You retain full ownership of the content you create using the Micro Content Agency UGC platform. You are solely responsible for:

• All content you create, generate, modify, or upload using the Service, including videos uploaded to your YouTube channel or any other platform.
• Ensuring that your content complies with all applicable laws, regulations, and third-party platform policies, including the YouTube Community Guidelines.
• Obtaining all necessary rights, licenses, and permissions for any materials (including music, images, text, and other media) incorporated into your content.
• Any consequences arising from the publication, distribution, or sharing of your content on any platform.

We do not claim ownership over any user-generated content. However, by using the Service, you grant us a limited, non-exclusive license to process and temporarily store your content as necessary to provide the Service.

6 Copyright and Intellectual Property Rights

The Micro Content Agency UGC platform, including its design, features, code, documentation, logos, and trademarks, is the intellectual property of Micro Content Agency and is protected by applicable copyright and intellectual property laws.

• You may not copy, reproduce, distribute, modify, reverse-engineer, or create derivative works from any part of the platform without our prior written consent.
• You are responsible for ensuring that your use of AI-generated content does not infringe on the copyrights or intellectual property rights of any third party.
• If you believe that content on the platform infringes your copyright, please contact us using the information provided in Section 13 to submit a notice.

7 Prohibited Use

You agree not to use the Micro Content Agency UGC platform to:

• Create, upload, or distribute content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, or hateful.
• Infringe upon the intellectual property, privacy, or other rights of any third party.
• Distribute spam, malware, or any other harmful or deceptive content.
• Attempt to gain unauthorized access to the platform, its servers, databases, or any associated systems.
• Use the Service in any manner that could damage, disable, overburden, or impair the platform.
• Resell, sublicense, or redistribute access to the platform without our written authorization.
• Violate any applicable local, national, or international law or regulation.
• Use the platform to mislead viewers or misrepresent the origin of content uploaded to YouTube or any other platform.

Violation of these prohibited uses may result in immediate termination of your access without refund.

8 Service Availability and Modifications

We strive to maintain consistent availability of the Micro Content Agency UGC platform. However:

• The Service is provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or secure access to the platform at all times.
• We may perform scheduled or emergency maintenance that may temporarily affect access to the Service.
• We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time, with or without prior notice.
• Third-party services, including AI video generation providers and the YouTube API, are subject to their own availability and terms. We are not responsible for downtime or limitations imposed by third-party service providers.

9 Limitation of Liability

To the maximum extent permitted by applicable law:

• Micro Content Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service.
• We shall not be liable for any loss of data, profits, revenue, or business opportunities resulting from the use of the Service.
• Our total liability for any claims arising from the use of the Service shall not exceed the total amount you paid for the Service in the twelve (12) months preceding the claim.
• We are not responsible for any actions taken by YouTube, Google, or any third-party platform in response to content you upload, including content removal, channel strikes, or account suspension.

10 Disclaimer of Warranties

The Micro Content Agency UGC platform is provided "as is" and "as available", without warranties of any kind, either express or implied.

• We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of results.
• We do not warrant that the AI-generated content will meet your specific requirements, be free from errors, or be suitable for any particular purpose.
• We do not guarantee that videos uploaded via the YouTube integration will comply with YouTube's content policies or will remain available on the platform.
• You acknowledge that AI-generated content may occasionally produce unexpected, inaccurate, or inappropriate results. You are solely responsible for reviewing all content before publishing.

11 Termination of Access

We reserve the right to suspend or terminate your access to the Micro Content Agency UGC platform at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms of Service.
• Engagement in prohibited activities as outlined in Section 7.
• Fraudulent or unauthorized use of the platform.
• Requests by law enforcement or government agencies.

Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall continue to apply, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12 Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts located in Navi Mumbai, Maharashtra, India.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
